"Ascendra Digital" or "Service Provider" refers to Ascendra™ Digital, a division of Ascendra™ Institute & Placement Services, founded by Sujithkumar Sivakumar, Subramani Building, 1st Floor, Vattamalai Bus Stop, Kumarapalayam, Namakkal District – 638183, Tamil Nadu, India.

"Client" means any individual, proprietor, partnership, company, trust, or legal entity engaging Ascendra Digital for any service. "Project" means the agreed scope in the written quotation or invoice. "Deliverables" means all files, code, designs, and content produced. "Third-Party Services" means Google, Hostinger, Razorpay, WhatsApp, Canva, or any external platform — none owned or controlled by Ascendra Digital.

"Written" and "in writing" include electronic records — WhatsApp messages, email, and electronically signed or explicitly confirmed quotations — which constitute valid and binding agreement between the parties under Section 10A of the Information Technology Act, 2000. A scope, quotation, or revision confirmed by the client via WhatsApp or email reply is treated as a formal written confirmation for all purposes under these terms.

• Projects begin only upon written agreement confirming scope and receipt of 50% advance payment.
• Scope is defined by the written quotation. Additions after commencement are quoted and billed separately.
• Verbal or informal instructions do not constitute scope changes unless confirmed in writing by Ascendra Digital.
• Each package covers only the website types and features explicitly marked "included" for that package on this menu. A feature or add-on listed as included in a higher package (e.g. SEO setup, PWA, extended maintenance) is not included at a lower package's price — it must be added individually at its stated add-on price, or the client must upgrade to the package where it's included.
• Ascendra Digital reserves the right to decline any project request without explanation.
• Ascendra Digital's current service scope covers website development, PWA & web applications, design & branding, content writing, and digital business setup (as listed on this menu). Paid advertising campaign management (Google Ads, Meta Ads) and native mobile app development (Android/iOS) are outside current scope and are not quoted unless explicitly agreed in writing as a separate arrangement.
• For e-commerce websites built by Ascendra Digital, Ascendra Digital acts solely as the website developer and technology provider. The client is the seller, merchant, and "e-commerce entity" (as applicable under the Consumer Protection (E-Commerce) Rules, 2020) for all products or services sold through the website. Ascendra Digital bears no responsibility for product quality, order fulfilment, customer service, refunds to end-customers, or any consumer dispute arising from goods or services sold by the client — these obligations rest entirely with the client.
• See also Clause 06 (Client Responsibilities) for the client's corresponding obligations under this scope.

Payment Schedule

• 50% advance before any work begins — no exceptions under any circumstances.
• 50% balance due upon project completion, before final files or access credentials are handed over to the client.
• Monthly retainer services due on or before the 1st of each service month.
• Projects above ₹50,000 may use agreed milestone payments documented in writing.

Accepted Payment Methods

• UPI (PhonePe, GPay, Paytm), Bank Transfer (NEFT/IMPS/RTGS), or cash for amounts under ₹20,000. All payments in INR to the designated Ascendra Digital account.

Non-Payment Consequences

• Balance unpaid within 7 days of project completion: Ascendra Digital may take the website offline and withhold all files and credentials until full payment is received.
• Client non-responsive for 30 consecutive days after project delivery: project abandoned and advance payment forfeited.
• All intellectual property in deliverables remains with Ascendra Digital until full payment is received. The client has no right to use, publish, or distribute any deliverable before complete payment.

Third-Party Costs

• Domain registration, hosting fees, Google Workspace subscriptions, Razorpay transaction charges, and any other third-party platform fees are paid directly by the client to those providers. These costs do not pass through Ascendra Digital and are not included in our service fees unless explicitly stated in the quotation.

• Each service includes one (1) consolidated revision round unless otherwise stated. Additional rounds are billed at ₹500–₹2,000 per round depending on scope.
• One revision round means one complete set of feedback submitted at one time — not multiple separate change requests sent over days.
• Delivery timelines begin when advance payment AND all required client materials are both received.
• Timelines pause during any period Ascendra Digital is waiting for client response, content, feedback, or approval.
• Rush delivery is available at 30% surcharge for select services, subject to availability and written confirmation.
• Ascendra Digital is not liable for delays caused by third-party processes including domain verification, Google GMB approval, Razorpay account activation, or hosting provider issues.
• Projects idle 14 days due to client non-response are placed on hold. Projects idle 30 days are considered abandoned; advance payment is forfeited.

• All deliverables become the client's full property only upon receipt of complete payment in full.
• Until full payment is received, all intellectual property in deliverables remains with Ascendra Digital. The client may not publish, use, or distribute any deliverable before full payment is confirmed.
• Ascendra Digital retains the right to display completed work in portfolio and marketing materials unless the client requests otherwise in writing at project completion.
• Preliminary concepts, rejected designs, and unused drafts remain the property of Ascendra Digital at all times.
• The client warrants that all content provided (text, images, logos, videos) is legally owned or properly licensed by them. The client fully indemnifies Ascendra Digital against any third-party intellectual property claim arising from client-provided content.
• Ascendra Digital will not copy or reproduce any competitor's website design, content, or code at any client's request. Such requests will be declined without exception.

• The client is responsible for providing accurate, complete, and legally owned content (text, images, branding materials) in a timely manner before and during the project.
• The client is responsible for reviewing and approving all deliverables before the project is marked complete. Any change requested after formal approval is treated as a new revision request and may be billed separately.
• The client is responsible for annual renewal of domain registration, hosting, and all third-party subscriptions set up during the project. Ascendra Digital will send reminders but bears no liability for service interruptions caused by expired renewals.
• The client must not use deliverables produced by Ascendra Digital for any illegal purpose, to defame any individual or organisation, or for any purpose not agreed upon in the original project brief.
• The client is responsible for keeping all login credentials (hosting, domain, email, Google accounts) secure after project handover. Ascendra Digital is not liable for security breaches arising from client mishandling of credentials.
• For e-commerce websites, the client alone is responsible for product listings, pricing accuracy, order fulfilment, customer service, and compliance with consumer protection and product-specific laws applicable to what they sell. See also Clause 02 (Scope of Work).

• Ascendra Digital treats all client business information, project materials, and financial details as strictly confidential and will not disclose them to any third party without written consent from the client.
• Client data collected in the course of service delivery is used solely for project work and communication — it is never sold, rented, or shared with any third party.
• This confidentiality commitment survives the completion or termination of any project indefinitely.
• Ascendra Digital complies with the Digital Personal Data Protection Act, 2023 (India) with respect to all personal data processed during service delivery.

• Ascendra Digital's total liability arising out of or relating to a specific project is limited to the total service fees actually paid by the client for that specific project, calculated over the 12 months preceding the event giving rise to the claim. Liability under one project does not extend to fees paid for any other, separate project.
• This limitation of liability does not apply to, and Ascendra Digital remains fully liable for, any loss arising from its own gross negligence, wilful misconduct, or fraud.
• Ascendra Digital is not liable for any indirect, incidental, consequential, or punitive damages — including loss of business, loss of data, loss of revenue, or reputational harm.
• Ascendra Digital is not liable for the performance, availability, pricing changes, or policy changes of any third-party service including Google, Hostinger, Razorpay, WhatsApp, Meta, or any other platform.
• Ascendra Digital does not guarantee specific Google search rankings, social media reach, advertising results, sales volumes, or business revenue as an outcome of any service provided.
• Ascendra Digital is not responsible for security breaches, data loss, or service downtime caused by hosting provider failures, hacking attempts, or events beyond our direct control.
• Ascendra Digital is not liable for any loss arising from a client providing false, inaccurate, or unlicensed content for use in a project.
• Ascendra Digital does not provide legal, financial, tax, or accounting advice. Any mention of GST, third-party fees, or compliance requirements in a quotation or on this menu is provided for general informational convenience only. Clients must obtain independent professional advice for tax, accounting, and regulatory compliance matters, including but not limited to obligations arising from operating an e-commerce store or collecting online payments.

Cancellation Before Work Starts

• If the client cancels before any work has commenced: 100% of the advance is refunded within 7 business days.

Cancellation After Work Has Begun

• If the client cancels after work has commenced: the advance is non-refundable. Ascendra Digital will provide all work completed up to the point of cancellation.
• If Ascendra Digital is unable to deliver the agreed scope due to circumstances entirely on our side: a full refund of all payments made will be issued within 7 business days.

Post-Delivery

• No refund is issued after the client has formally approved and accepted the final deliverables.
• Dissatisfaction must be raised in writing within 5 business days of delivery. Ascendra Digital will make reasonable corrections within the included revision scope at no additional charge.

Monthly Retainer Cancellation

• Monthly services can be cancelled with 15 days' written notice before the next billing cycle. No refund for partially consumed months.

• Either party may terminate an ongoing service agreement by providing 15 days' written notice to the other party.
• Ascendra Digital reserves the right to immediately terminate a project or service without notice if the client engages in abusive, threatening, harassing, or illegal conduct toward Ascendra Digital or its personnel.
• Ascendra Digital will immediately terminate any project where the client requests content that is defamatory, illegal, morally objectionable, or that violates the intellectual property rights of any third party.
• Upon termination, all amounts owed for work completed up to the termination date become immediately payable in full.
• Upon receipt of all outstanding payments, Ascendra Digital will provide the client with all deliverables completed to date in their available form.

• In the event of any dispute, both parties agree to first attempt resolution through good-faith direct negotiation within 15 days of the dispute being raised in writing.
• If direct negotiation fails, the dispute will be referred to mediation or arbitration before any formal legal proceedings are initiated.
• These terms are governed by and construed in accordance with the laws of India — specifically the Indian Contract Act, 1872; the Information Technology Act, 2000; and the Copyright Act, 1957.
• The courts of Namakkal District, Tamil Nadu, India shall have exclusive jurisdiction over any legal proceedings arising from these terms or any project undertaken by Ascendra Digital.

• Force Majeure: Ascendra Digital is not liable for delays or failure to perform caused by events beyond reasonable control — including but not limited to natural disasters, pandemics or epidemics, government-ordered lockdowns or restrictions, prolonged internet or power infrastructure failures, and platform-level failures by third parties.
• Entire Agreement: These terms, together with the written quotation or invoice for a specific project, constitute the entire agreement between the parties and supersede all prior verbal or written communications.
• Amendments: Ascendra Digital may update these terms at any time. Clients will be notified of material changes. Continued engagement with our services after notification constitutes acceptance of the updated terms.
• Severability: If any clause of these terms is found to be unenforceable by a court, the remaining clauses continue in full force and effect.
• No Waiver: Failure by Ascendra Digital to enforce any provision at any time does not constitute a permanent waiver of the right to enforce it in the future.
• Notices: Any formal notice under these terms is valid only if sent in writing to the WhatsApp number, email address, or registered address stated in Clause 01, and is deemed received the same day if sent before 6 PM IST on a business day, or the next business day otherwise.
• Assignment: The client may not transfer, assign, or resell this agreement or any in-progress project to a third party without Ascendra Digital's prior written consent. Ascendra Digital may assign its rights and obligations under these terms to a successor entity in the event of business restructuring, with notice to the client.
• Acceptance: By paying an advance or proceeding with a project after receiving a quotation from Ascendra Digital, the client confirms they have read, understood, and agreed to all of these terms in full.
